1. Scope

These General Conditions of Sale govern all contracts for the supply of SATE S.r.l. machinery, spare parts, consumables and engineering services, unless otherwise expressly agreed in writing.

2. Quotations and Orders

Quotations are valid for 30 days unless otherwise stated. Orders become binding only upon written acceptance by SATE. Production lead times are indicative and subject to material availability.

3. Pricing and Payment

Prices are EXW (Incoterms 2020) Serravalle Pistoiese unless otherwise specified. Standard payment terms: 50% down-payment on order confirmation, 30% within 60 days of the down-payment, 20% balance prior to shipment. Late payments accrue interest under Italian Legislative Decree 231/2002.

4. Delivery and Installation

Risk passes to the Buyer upon collection from SATE's premises. Installation, commissioning and operator training are quoted separately and require the Buyer's collaboration on site preparation (electrical, pneumatic, networking).

5. Warranty

Standard mechanical warranty is 12 months from the date the machine is ready for shipment (ex works at SATE's premises). Extended warranty plans available on request. Warranty excludes: wear parts, consumables, damage caused by misuse, lack of maintenance or modifications carried out without prior written authorization.

6. Intellectual Property

The Framework™ software and all proprietary algorithms remain the property of SATE. The Buyer receives a non-exclusive, non-transferable license to use the software exclusively in connection with the supplied machinery.

7. Force Majeure

SATE shall not be liable for failures caused by events beyond its reasonable control (acts of God, pandemics, war, sanctions, supplier failures, energy crisis).

8. Confidentiality

All technical drawings, configurations and pricing information shared during contract negotiation are confidential and may not be disclosed without prior written authorization.

9. Governing Law and Jurisdiction

These Conditions are governed by Italian law. The Court of Pistoia (Italy) shall have exclusive jurisdiction over any dispute arising from or in connection with the supply, without prejudice to mandatory rules of competence. The UN Convention on Contracts for the International Sale of Goods (Vienna 1980, CISG) is expressly excluded.
